Terms of Service
These Terms of Service (the "Terms") are a legal agreement between BurTech Solution, a business registered in Ontario, Canada ("we", "us" and "our"), and the business that uses Zamilo (the "Customer", also "you" and "your"). They set out the rules for using Zamilo, the web application at https://app.zamilo.io.
These Terms are also the end-user licence agreement (EULA) for Zamilo. When Intuit, Shopify or another platform asks for the end-user licence agreement that governs Zamilo, including when you connect Zamilo to QuickBooks Online or install it on a Shopify store, these Terms are that agreement.
The short version
- Zamilo is for businesses. The person who accepts these Terms must have authority to bind their business.
- During the invite-only Beta, Zamilo is free and provided as it is, with no service-level commitment.
- You pay only if you later choose a paid plan, and you see the price before any charge.
- Your data belongs to you. We use it only to provide the Services to you. We do not sell it or use it to train AI models.
- You can export your data at any time, and for 30 days after your workspace closes.
- Services you connect, such as QuickBooks Online, Microsoft 365 and Shopify, are governed by your own agreements with their providers.
- Ontario law applies.
This summary is here to help you read the Terms. If it differs from the numbered sections, the numbered sections apply.
1. Who this agreement is with
This agreement is between BurTech Solution and the Customer: the business named when its Workspace is created or, if none is named, the business that the person accepting these Terms represents.
Zamilo is for business use only. We do not offer it to consumers, or for personal, family or household purposes.
Only a person who has authority to bind a business may accept these Terms. By accepting them for a business, you confirm that:
- you have authority to bind that business to these Terms;
- you have reached the age of majority where you live; and
- the business will use the Services only for its business purposes.
If you do not have that authority, or you do not agree with these Terms, do not accept them and do not use the Services.
The Customer accepts these Terms when a person with authority accepts them on its behalf (for example, by pressing a button that says they agree), or when the Customer or any of its Users first uses the Services, whichever happens first.
Users sign in to the Customer's Workspace and use the Services on the Customer's behalf. The Customer is responsible for making sure its Users follow these Terms and the Acceptable Use Policy.
2. Definitions
In these Terms, the words below have these meanings. Other capitalised words are defined where they first appear.
- Account Data
- Information about Users that we need to run their accounts, such as name, work email address, role, sign-in times and network (IP) address. We handle Account Data as our Privacy Policy describes.
- Admin
- A User whom the Customer has given an administrator role in its Workspace.
- AI Features
- The optional features of the Services that send text to an AI provider to draft, summarise, suggest or extract information (Section 10).
- Beta
- The current invite-only stage of the Services, offered free of charge, and any feature we label as beta or preview.
- Customer
- The business that accepts these Terms and for which a Workspace is created. "You" and "your" refer to the Customer.
- Customer Data
- All data, files and other content that the Customer or its Users put into the Services, or that the Services bring in from Third-Party Services at the Customer's direction. Examples are contacts, accounts, emails and attachments, quotes, orders, invoices, call logs, recordings, texts, and complaint and incident records. Customer Data does not include Account Data.
- Documentation
- The help articles and guides we publish for the Services on our website.
- Paid Plan
- A subscription to the Services, for a fee, that the Customer chooses after the Beta (Section 4).
- Personal Information
- Information about an identified or identifiable individual. It includes "personal data" and "personal information" as the data protection laws that apply define those terms.
- Services
- Zamilo: the web application, including its Inbox & Desk, CRM & Sales, Ship & WMS and Quality (eQMS) apps, its connections to Third-Party Services, the Documentation, the support we provide, and any updates to them. The Services do not include Third-Party Services.
- Third-Party Services
- Products and services that we do not provide and that the Customer chooses to connect to the Services, such as QuickBooks Online, Microsoft 365, email hosts reached over IMAP and SMTP, Shopify, Magento (Adobe Commerce), RingCentral, Freightcom, ShipStation and the Customer's own AI provider.
- Users
- The individuals the Customer invites or allows to sign in to its Workspace, such as its employees and contractors.
- Workspace
- The Customer's own area of the Services. Each customer's Workspace is kept separate from every other customer's.
3. The invite-only Beta
Zamilo is in an invite-only Beta. While the Beta lasts:
- It is free. We charge nothing for the Services during the Beta, and nothing you do during the Beta results in a charge.
- It is by invitation. We decide whom to invite.
- It is provided as it is. The Services are still being built. They may contain errors, may be unavailable at times and, despite our care, could lose or damage data. Section 16 explains the warranties we give and do not give.
- Features may change. We may add, change or remove features, including connections to Third-Party Services, at any time. We will try to tell you in advance about changes that affect how you work, but we cannot always do so.
- There is no service-level commitment. We do not promise any level of availability, performance or support response time during the Beta, and no service credits apply.
- Support is by email. Write to [email protected] or use our support page. We answer as soon as we reasonably can.
Ending the Beta
We may end the Beta, for all customers or for a group of them, by giving at least 30 days' notice by email to your Admins. When the Beta ends, you may choose a Paid Plan if we offer one that suits you. If you do not, your Workspace closes on the date given in our notice, and you can still export your Customer Data for 30 days after that date, as Section 15 describes.
Keep your own copies
We take nightly backups, as our Security page describes, but they exist so that we can restore the Services, not to keep your records for you. You are responsible for keeping copies of any Customer Data that you must keep, such as quality, tax or regulatory records, for as long as the law or your own procedures require. You can export your data at any time (Section 6).
4. Paid plans
We plan to offer Paid Plans after the Beta. Any prices shown on our website before then are planned prices and may change.
- You pay only if you choose a Paid Plan. An Admin must select the plan and agree to its price before anything is charged. We will never move you from the Beta to a Paid Plan automatically.
- Before any charge, we will show you the price, the currency, the billing period, the taxes that apply and how to cancel.
- Once you choose a Paid Plan, the terms shown for it (its fees, billing, renewal and cancellation) become part of these Terms.
- Unless the plan says otherwise, fees do not include taxes. You are responsible for sales, use, goods and services, value-added and similar taxes on the fees, other than taxes on our income.
5. Accounts and security
An Admin sets up the Customer's Workspace from our invitation, invites other Users and chooses each User's role. The Customer is responsible for:
- whom it invites, the roles and permissions it gives them, and everything done through its Users' accounts;
- making sure each User has their own sign-in and keeps their password, authenticator device and recovery codes confidential (accounts must not be shared);
- removing a User's access promptly when they leave or no longer need it;
- keeping its Admins' contact details up to date, because we send important notices to them; and
- the security of its own devices and networks and of its accounts with Third-Party Services.
We strongly recommend that every User turns on two-step sign-in (see our guide to two-step sign-in). Admins can require it for every User in the Workspace.
If you learn or suspect that someone has used an account without permission, or that a password, recovery code or connection to a Third-Party Service has been exposed, tell us without delay at [email protected] and change the affected credentials.
Users must be at least 16 years old.
6. Your data
You own your Customer Data
As between you and us, the Customer owns Customer Data and all rights in it. We do not claim ownership of it.
What you allow us to do with it
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and otherwise process Customer Data, only as needed to:
- provide the Services to you, as you and your Users direct, including the data flows to and from Third-Party Services that you set up;
- keep the Services secure and working, prevent abuse and fix problems;
- give you support when you ask for it; and
- comply with the law.
This licence ends when Customer Data is deleted under Section 15, except for any copy the law requires us to keep.
What we do not do with it
- We do not sell Customer Data, and we do not use or share it for advertising.
- We do not use Customer Data to train AI models.
- Our staff do not look at the content of your Workspace except when you ask us to (for example, to help with a support request), when it is needed to keep the Services secure or working, or when the law requires it.
We also keep technical records about how the Services run, such as server logs and sign-in records, to operate and secure them. Our Privacy Policy describes them.
Your responsibilities for Customer Data
You are responsible for Customer Data and for how you and your Users collect and use it. You confirm that you have, and will keep, all the rights, notices, consents and other lawful grounds needed for you to put Customer Data into the Services and for us to process it under these Terms. If you record calls or send texts or commercial messages, you are responsible for any notice or consent the law requires.
Exporting your data
An Admin can export all Customer Data at any time from the Workspace's settings, without asking us. Our guide to backups and exporting your data explains how.
Requests from authorities
If a government body, regulator or court asks us for Customer Data, we will direct it to you where we can. If the law requires us to disclose Customer Data, we will tell you before we do, unless the law forbids it, and we will disclose only what is required.
7. Personal information and privacy
When Customer Data includes Personal Information, you decide why and how it is processed, and we process it on your behalf. In the language of data protection laws, you are the "controller" (or "business") and we are your "processor" (or "service provider").
Our Data Processing Addendum (the "DPA") sets out how we process that Personal Information. It forms part of these Terms and applies automatically; you do not need to sign it separately.
Our Privacy Policy explains how we handle Account Data and other Personal Information for which we are the controller, such as information sent to us through our website.
You are responsible for telling the people whose information you hold how you use it, and for answering their requests about it. We help you as the DPA describes.
8. Acceptable use
You and your Users must follow our Acceptable Use Policy, which forms part of these Terms. In particular, you must not:
- use the Services to break the law, to infringe anyone's rights or to send unlawful messages;
- try to get around the Services' security, limits or access controls, or test their security without our written permission;
- copy, decompile, disassemble or reverse engineer the Services, except to the extent the law allows despite this restriction;
- resell, sublicense or provide the Services to anyone other than your Users, unless we agree in writing; or
- use the Services to build a competing product or service.
9. Third-Party Services
You can connect the Services to Third-Party Services, including:
- QuickBooks Online (Intuit), for customers, items, vendors, invoices, estimates, purchase orders and bills;
- Microsoft 365, and other email hosts reached over IMAP and SMTP (such as Gmail, Yahoo, iCloud or Fastmail), for shared mailboxes;
- Shopify, for orders, products, customers, prices, stock and fulfilment, and Magento (Adobe Commerce), for price updates;
- RingCentral, for calls, voicemail, recordings and texts;
- Freightcom and ShipStation, for shipping rates, labels and tracking; and
- your own AI provider, for the AI Features.
When you connect a Third-Party Service:
- Its terms govern it. Your use of it is governed by your own agreement with its provider, not by these Terms. You are responsible for having that agreement, for any fees the provider charges and for following its terms.
- We are not responsible for it. We do not control Third-Party Services. We are not responsible for their availability, security, accuracy or actions, for changes their providers make, or for how their providers handle your data. If a provider changes or withdraws its service, or our access to it, a connection may stop working, and we may change it or stop offering it.
- You authorise the data flows you set up. By connecting a Third-Party Service and choosing its settings, you instruct and authorise us to access it with the permissions you grant, to read data from it and to send data to it as those settings provide. You confirm that you are entitled to connect the account. Some providers require their account administrator to approve the connection first.
- Outgoing documents and messages need a person. The Services create an invoice or a purchase order in QuickBooks Online, send an email or a text to someone outside your team, or buy a shipping label only when a User presses Send or a similar button, or after a User has switched on an automatic flow as described next. Data flows and messages that a User switches on, such as price and stock updates to a store, tracking numbers written back to a Shopify order once a label is bought, or automatic order, shipping and invoice messages to your customers (all off until switched on), then run automatically until a User switches them off. Connected mailboxes also keep read and archived status in step with the mailbox. Automations that you set up may notify and email your own Users, but never people outside your team.
- You can disconnect. You can disconnect a Third-Party Service in the Services at any time, and many providers also let you withdraw access on their side. Data already brought into the Services stays in your Workspace until you delete it or it is deleted under Section 15.
Data that leaves the Services for a Third-Party Service is handled by its provider under your agreement with that provider. Providers of Third-Party Services are not our subprocessors. They are not parties to these Terms, and they are not responsible for the Services or for supporting them.
10. AI Features
- They are optional. AI Features work only after an Admin connects an AI provider using the Customer's own API key (for example, for Anthropic Claude). Your agreement with that provider governs its service and what it does with the text sent to it.
- What is sent. When a User uses an AI Feature, the text the User asks about, such as an email thread or a record, is sent to that provider so that it can draft, summarise, suggest or extract information.
- Output may be wrong. AI output can be inaccurate, incomplete or inappropriate, even when it sounds confident. It is not legal, medical, regulatory or other professional advice.
- A person must review it. The Services show AI output to a User, and nothing an AI Feature produces is saved or sent until a User accepts it. You are responsible for reviewing the output and for whatever your Users save or send.
- No training on your data. We do not use Customer Data, or the inputs and outputs of AI Features, to train AI models.
- Output is yours. As between you and us, output generated for you by AI Features is Customer Data.
11. Our intellectual property and your licence
We and our licensors own the Services, the Documentation, the Zamilo name and logos, and all intellectual property rights in them, including any improvements. Apart from the licence in this section, these Terms do not give you any rights in them.
Subject to these Terms, we grant the Customer a limited, non-exclusive, non-transferable licence, without the right to sublicense, to access and use the Services, and to let its Users do so, for the Customer's internal business purposes. The licence lasts until these Terms end. It covers the parts of the Services that run through or are installed in a Third-Party Service, such as the Zamilo app for Shopify and the connection to QuickBooks Online.
We reserve all rights that these Terms do not expressly grant.
12. Feedback
If you or your Users send us suggestions, ideas or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose, without any duty to you. Feedback does not give us any rights in your Customer Data or your Confidential Information, and we will not identify you as its source without your permission.
13. Confidentiality
"Confidential Information" means non-public information that one party (the "discloser") gives the other (the "recipient") in connection with these Terms, and that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is your Confidential Information. Non-public information about the Services, such as security details we share with you, is ours.
Confidential Information does not include information that:
- is or becomes public through no fault of the recipient;
- the recipient already knew, without a duty to keep it confidential;
- the recipient lawfully receives from someone else without a duty to keep it confidential; or
- the recipient develops independently, without using the discloser's Confidential Information.
The recipient will:
- use Confidential Information only to perform these Terms or to exercise its rights under them;
- protect it with at least reasonable care, and no less care than it uses for its own information of a similar kind; and
- share it only with its employees, contractors, subprocessors and professional advisers who need to know it and who are bound by duties of confidentiality at least as protective as this section.
The recipient may disclose Confidential Information when the law or a court requires it, if it gives the discloser prompt notice where the law allows and discloses only what is required.
These duties apply while these Terms are in force and for three years after they end. For Customer Data and trade secrets, they apply for as long as the information remains confidential.
14. Suspension
We may suspend the Customer's access to all or part of the Services, or a User's access, if we reasonably believe that:
- there is a security risk to the Services, to other customers or to anyone else (for example, an account appears to have been taken over);
- the Services are being used unlawfully, or in a way that could expose us, other customers or anyone else to harm or legal liability; or
- you or your Users have breached these Terms or the Acceptable Use Policy or, under a Paid Plan, have not paid fees when due.
Where it is reasonable to do so, we will tell your Admins before we suspend access, explain why and give you a chance to fix the problem. If we must act at once, we will tell you as soon as we reasonably can afterwards. We will limit any suspension to what is needed and lift it once its reason has gone. Suspension does not delete Customer Data.
15. Term and termination
These Terms start when the Customer accepts them and continue until they end as this section describes.
During the Beta
Either party may end these Terms at any time during the Beta, for any reason:
- you, by asking us to close your Workspace (an Admin writes to [email protected]); and
- we, by giving your Admins at least 30 days' notice by email, unless we end them for cause as described below.
Under a Paid Plan
If you choose a Paid Plan, the plan's terms set its length, renewal and cancellation. You may still stop using the Services and close your Workspace at any time. Any refund follows the plan's terms.
Ending for cause
Either party may end these Terms by notice if the other party materially breaches them and does not fix the breach within 30 days after receiving notice of it, or at once if the breach cannot be fixed. We may also end these Terms at once by notice if the law requires us to, or if the Services are used in breach of Section 19.
What happens when these Terms end
- The licence in Section 11 ends, the Workspace closes and Users can no longer sign in.
- For 30 days after the Workspace closes, we keep Customer Data so that you can export it. During that time an Admin can ask us at [email protected] for a complete export, and we will provide it.
- After those 30 days, we delete Customer Data from the Services, as our Privacy Policy and the DPA describe. Backups that contain it are overwritten within a further 15 days.
- We may keep information that the law requires us to keep, and Account Data and records of our dealings with you as our Privacy Policy describes. Whatever we keep stays protected by Section 13.
- Fees owed under a Paid Plan for the period before the end remain payable.
Sections 12, 13, 15 (What happens when these Terms end), 16, 17, 18 and 21 to 27, the statements of ownership in Sections 6 and 11, and any other term that by its nature is meant to continue, survive the end of these Terms.
16. Warranties and disclaimers
Each party confirms that it has the right and power to enter into these Terms.
Under a Paid Plan, we warrant that the Services will perform materially as the Documentation describes. If they do not, and you tell us, we will use reasonable efforts to correct the problem. If we cannot do so within a reasonable time, either party may end the affected Paid Plan, and we will refund the fees you prepaid for the period after it ends. This is your only remedy for a breach of this warranty. This warranty does not apply during the Beta or to features we label as beta or preview.
Except as these Terms expressly say, and to the fullest extent the law allows, the Services, including the Beta and the AI Features, are provided "as is" and "as available". We disclaim all other warranties, conditions and representations, whether express, implied or statutory, including any of merchantable quality, merchantability, fitness for a particular purpose, title and non-infringement, and any arising from a course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, timely, secure or free of errors, that data will never be lost, or that any output, including AI output, will be accurate.
The Services help you keep records and do your work. They do not give legal, tax, accounting, medical or regulatory advice, and they do not decide for you whether to report an incident, issue a recall or meet a deadline. You remain responsible for your decisions and for meeting your legal and regulatory obligations.
17. Limitation of liability
No indirect damages
To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or anticipated savings, or loss or corruption of data, however caused, even if it was told that they were possible.
Total liability
To the fullest extent the law allows, each party's total liability arising out of or relating to these Terms and the Services, whatever the cause and under any legal theory, whether in contract, in tort (including negligence), in extra-contractual liability or otherwise, is limited to:
- during the Beta, and for any use of the Services free of charge, CAD 100; and
- under a Paid Plan, the greater of CAD 100 and the fees the Customer paid us for the Services in the 12 months before the claim arose.
Exceptions
The limits in this section do not apply to the Customer's duty to pay fees, or to the Customer's obligations under Section 18.1.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under the law that applies, such as liability for fraud, for intentional or gross fault, or for death or personal injury caused by negligence. Where the law allows a limit but not the one written here, liability is limited to the fullest extent the law allows.
These limits apply even if a remedy fails of its essential purpose. They reflect that the Services are free during the Beta and are part of the basis of the agreement between the parties.
18. Indemnities
18.1 By the Customer
The Customer will defend us, and our officers, employees and contractors, against any claim, demand, suit or proceeding brought by a third party, including a regulator (a "Claim"), that arises from:
- Customer Data, including a Claim that Customer Data infringes someone's rights or was collected, used or disclosed without the notice, consent or other lawful ground that the law requires; or
- use of the Services by the Customer or its Users in breach of the law, these Terms or the Acceptable Use Policy, such as sending unlawful messages.
The Customer will pay the damages, fines and penalties (where the law allows them to be indemnified), settlement amounts and reasonable legal fees finally awarded against us, or agreed in a settlement it approves, for that Claim.
18.2 By us
We will defend the Customer, and its officers, employees and contractors, against any Claim alleging that the Services, as we provide them and as used in accordance with these Terms, infringe or misappropriate a third party's intellectual property rights. We will pay the damages finally awarded against the Customer, or agreed in a settlement we approve, and reasonable legal fees, for that Claim.
We have no obligation under this section for a Claim that arises from:
- Customer Data;
- Third-Party Services, or anything else that we do not provide;
- output of the AI Features;
- the combination of the Services with products, services, data or processes that we do not provide, if the Claim would not have arisen without the combination;
- a change to the Services made by anyone other than us or at our direction; or
- use of the Services in breach of these Terms, or after we have told you to stop using the affected part because of a Claim.
If the Services are, or we think they may become, the subject of a Claim, we may, at our option and cost, get you the right to keep using them, change them so that they no longer infringe while keeping materially similar functionality, or, if neither is reasonably possible, end these Terms or the affected part of the Services and refund any fees you prepaid for the period after that. This section states our entire liability, and your only remedy, for Claims of infringement.
18.3 How a Claim is handled
The party seeking protection under this section will:
- tell the other party promptly about the Claim (a delay reduces the other party's obligations only to the extent the delay harms it);
- let the other party control the defence and settlement of the Claim, provided that no settlement may admit fault for, or impose an obligation on, the protected party without its consent, which it will not unreasonably withhold; and
- give reasonable help, at the other party's expense.
The protected party may take part in the defence with its own lawyers, at its own expense.
19. Export controls and sanctions
Each party will comply with the export control and economic sanctions laws that apply to it, including those of Canada and, where they apply, those of the United States, the United Kingdom, the European Union and the United Nations.
You confirm that neither the Customer nor any User:
- is located in, organised under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions;
- is named on a sanctions or restricted-party list maintained under those laws; or
- is owned or controlled by, or acting for, a person described above.
You will not let anyone access or use the Services in breach of those laws, or for the benefit of a person described above, and you will not use the Services for any purpose those laws prohibit.
20. Changes to these Terms
We may change these Terms from time to time. Each version shows its version number and effective date at the top of this page.
- Material changes. We will give at least 30 days' notice of a material change, by email to your Admins or in the app, before it takes effect. The notice will say what is changing and when.
- Other changes. Changes that are not material, such as corrections and clarifications, take effect when we publish them.
- Changes required by law. If the law or a regulator requires a change sooner, we will give as much notice as we reasonably can.
If you keep using the Services after the date a change takes effect, you accept the changed Terms. If you do not agree to a change, you may stop using the Services and close your Workspace before the change takes effect; Section 15 still applies, including your right to export your data.
21. Notices
We give notices under these Terms by email to your Admins, or to the address used to accept these Terms. Notices that concern all customers may also be given in the app. An email notice counts as received when we send it, unless we receive a message saying it could not be delivered.
You give notices to us by email to [email protected]. Please send privacy requests to [email protected] and security reports to [email protected].
22. Assignment
Neither party may assign or transfer these Terms without the other party's written consent, which will not be unreasonably withheld. However, either party may assign these Terms without consent, by notice to the other, to a successor in a merger, an amalgamation, a reorganisation, or a sale of all or substantially all of the business or assets to which these Terms relate, if the successor agrees in writing to be bound by them. Any other attempt to assign these Terms has no effect. These Terms bind and benefit the parties and their permitted successors and assigns.
23. Force majeure
Neither party is liable for a delay or failure to perform its obligations (other than an obligation to pay) caused by events beyond its reasonable control. Examples include natural disasters, fire, flood, epidemics, war, terrorism, civil unrest, labour disputes not involving its own staff, acts of government, failures of utilities or of the internet, failures of hosting or network providers not caused by its own fault, and cyberattacks despite reasonable precautions. The affected party will tell the other party promptly and make reasonable efforts to resume performance. If the event continues for more than 30 days, either party may end these Terms by notice.
24. Entire agreement and order of precedence
These Terms, together with the DPA, the Acceptable Use Policy and the terms of any Paid Plan you choose, are the entire agreement between the parties about the Services. They replace any earlier agreements, proposals or statements about the Services. Our Privacy Policy describes how we handle Personal Information as a controller.
If these documents conflict, they apply in this order:
- the DPA, for anything about the processing of Personal Information;
- these Terms; and
- the Acceptable Use Policy and the terms of any Paid Plan.
A purchase order, or other terms that you send us, does not change these Terms, even if we accept or sign it, unless both parties sign a document that expressly says it changes these Terms.
25. Governing law and courts
These Terms, and any dispute arising out of or relating to them or to the Services, including disputes that are not about the contract, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to their conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The courts of Toronto, Ontario, have exclusive jurisdiction over any such dispute, and each party submits to them. Either party may still ask any court with jurisdiction for an urgent injunction or similar order to protect its Confidential Information or intellectual property.
Zamilo is for businesses. If, despite this, a law that cannot be set aside by agreement gives you rights or protections where you live (for example, as a consumer), nothing in these Terms takes those rights away.
26. Language
The parties have expressly required that this agreement and all related documents be drawn up in English.
Les parties ont expressément exigé que la présente convention et tous les documents connexes soient rédigés en anglais.
If we provide a translation of these Terms or a related document, the English version applies if they differ.
27. General
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency or employment relationship.
- No third-party rights. No one other than the parties, and the people protected under Section 18, has rights under these Terms.
- Severability. If a court finds any part of these Terms invalid or unenforceable, that part is changed only as much as needed to make it enforceable, and the rest of the Terms stays in effect.
- No waiver. A party does not give up a right by failing to enforce it or by delaying. A waiver must be in writing.
- Electronic agreement. Each party agrees that these Terms may be accepted, and notices given, electronically.
- Interpretation. Headings and the summary at the top of this page are for convenience only. "Including" and "for example" mean "including, without limitation". Amounts are in Canadian dollars unless stated otherwise.
